Welcome to Visual Space, an online collaboration network that enables individuals and organisations to discover, create, and contribute to shared projects (“Projects”). These Terms of Service (“Terms”) govern your access to and use of the Visual Space website, mobile & desktop applications, application-programming interfaces, and any related services (collectively, the “Platform”). Please read them carefully. These Terms are supplemented by additional information published within the Platform. In the event of a conflict or ambiguity between these Terms and any information provided on the Platform, the provisions contained in these Terms shall prevail unless expressly stated otherwise by us.
By accessing, browsing, or using any part of the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms, by our Privacy Policy, and by all additional guidelines and policies that are incorporated by reference. If you do not, or cannot, agree to every provision, you must refrain from using the Platform.
If you use the Platform on behalf of a company, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and the term “you” shall refer to both you as an individual and to the entity on whose behalf you act.
Visual Space exists to facilitate open, goal-oriented collaboration. The Platform allows users, among others, to:

These Terms constitute a legally binding contract between you and VISUAL SPACE APP SRL (“Visual Space”, “we”, “our”, or “us”). We may amend these Terms from time to time to reflect changes in applicable law, in available features, or in our business practices. When material amendments are made, we will provide reasonable notice, for example by updating the “Last Updated” date, by displaying an in-product notification, or by sending an email to the address associated with your account. All amendments take effect on the date specified in the notice. Your continued use of the Platform after that date constitutes acceptance of the amended Terms. If you do not accept the amendments, you must delete your account and discontinue all use of the Platform before the effective date of the changes.

You must be at least sixteen (16) years of age, or such higher age as is required in your country of residence to create an account or otherwise use the Platform. This platform is not appropriate to minors. By accessing or using the Platform, you represent and warrant that you meet the applicable age requirement and possess the legal capacity necessary to enter into a binding contract under applicable law.
Visual Space reserves the right to request proof of age at any time. Should we determine, at our sole discretion, that you do not meet the minimum age requirement, we will terminate your account and access to the Platform immediately and without prior notice.You may not use the Platform if you reside in a jurisdiction that restricts or prohibits access to or use of services such as ours, or if you are otherwise prohibited under applicable laws from receiving or using the services provided by Visual Space. You are solely responsible for ensuring that your access to and use of the Platform complies with all applicable local laws and regulations.
By agreeing to these Terms, you also affirm that you have not been previously suspended, removed, or banned from the Platform and that your registration and use of the Platform complies with all applicable laws, regulations, and sanctions.
To access certain features of the Platform, you must register and maintain a valid user account (“Account”). When creating your Account, you agree to provide a valid email address, which is mandatory for account registration. Other information requested during registration is optional. If provided, you agree that such information will be accurate, complete, and up-to-date. You must promptly update your Account information whenever it changes to maintain its accuracy. Additionally, for online payments, we may be required by law to request supplementary information, such as your name and address.
Visual Space reserves the right, at its sole discretion, to suspend or terminate any Account it suspects violates these provisions.
When registering an Account, you must select a secure password. You agree that your password will comply with the following minimum security standards:
You acknowledge that maintaining strong, unique passwords and regularly changing them is critical to ensuring the security of your Account.
For enhanced security, the Platform uses Multi-Factor Authentication (MFA). The use of MDA is optional. MFA requires verification through an additional security method, such as a code sent via email, SMS, or generated by an authenticator application, in addition to your standard login credentials.
You are responsible for maintaining the confidentiality of all MFA methods associated with your Account. Visual Space strongly recommends that you use an authenticator application or other secure MFA method rather than SMS-based verification to protect your Account from unauthorized access or compromise.
You acknowledge and agree that you bear sole responsibility for all activities conducted through your Account, whether authorized by you or not. You must promptly notify Visual Space by e-mail of any unauthorized access to, use of, or suspected breach of your Account or associated MFA credentials.
Visual Space will not be liable for any loss or damage resulting from your failure to comply with these obligations or to adequately secure your Account and authentication credentials. You agree to indemnify Visual Space against any claims arising from unauthorized use of your Account, except to the extent caused directly by the gross negligence or intentional misconduct of Visual Space.
Public Spaces are areas within the Platform accessible to all registered users. By creating or participating in a Public Space, you acknowledge and consent that any content, information, or materials posted therein become visible and available to all other users of the Platform. Users must ensure that the content shared within Public Spaces complies at all times with these Terms and all applicable laws and regulations. Visual Space reserves the right, but does not have the obligation, to moderate, edit, or remove content posted in Public Spaces at its sole discretion.
Private Spaces are restricted areas accessible only to users expressly invited or authorised by the Space owner or an authorised user. The creator or authorised user of a Private Space controls its visibility and access permissions. Visual Space will not monitor, or moderate content shared within Private Spaces, except where required by applicable law, to respond to legal process, or to enforce compliance with these Terms. Users are solely responsible for managing the confidentiality and security of content shared within their Private Spaces.
Spaces within the Platform can assign different roles and permissions to users, such as owner, administrator, editor, collaborator, viewer, or other roles defined by Visual Space. Each role includes a specific set of privileges and responsibilities that determine user capabilities within a given Space.
A user who creates a Space initially assumes the role of owner. Ownership can subsequently be transferred voluntarily by the owner to another user authorised within the Space. Transfer of ownership requires explicit consent of the recipient user. Visual Space assumes no responsibility for disputes arising from the transfer of ownership or distribution of permissions within a Space and will not arbitrate any such disputes.
A Space may become “orphaned” if its sole owner or administrator becomes inactive or permanently loses access to their Account. In such cases, other members of the Space may submit a request to Visual Space for transfer of administrative control, subject to identity verification and review procedures implemented by Visual Space.
Visual Space reserves the right to determine, in its sole discretion, the appropriate recovery action, if any. Recovery requests will be considered based on the best interests of the Space members and compliance with applicable laws. If no eligible member is identified, Visual Space may archive, restrict access to, or permanently delete orphaned Spaces at its discretion.
You retain intellectual property rights to all content, materials, data, information, files, images, and any other submissions you upload, share, or otherwise publish on or through the Platform, subject to the licensing options, as detailed under Section VII – Licensing of these Terms. You remain solely responsible for ensuring that your User Content complies with these Terms, the selected license conditions, and all applicable laws and regulations. The Content you provide does not infringe or violate any third-party intellectual property rights, including copyrights, trademarks, patents, or trade secrets. You further acknowledge and agree not to upload, share, or otherwise publish Content that is unlawful, defamatory, obscene, fraudulent, harmful, hateful, discriminatory, immoral, offensive, or otherwise inappropriate or illegal.
By uploading or submitting User Content to the Platform, you grant Visual Space a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to use, host, store, display, reproduce, distribute, adapt, modify, and publicly perform or display your User Content solely as necessary to operate, maintain, provide, and improve the Platform.
In addition, if you choose to publish User Content in any Public Space on the Platform, you further grant Visual Space the right to publicly display, reproduce, and distribute such content to promote the Platform, including through Visual Space’s marketing materials, social media accounts, websites, newsletters, and other promotional channels.
By submitting User Content to Public Spaces, you grant Visual Space the right to translate, adapt, modify, reformat, or otherwise alter your User Content solely for the purpose of providing, improving, and promoting the Platform, ensuring better accessibility and facilitating broader dissemination of such content. Visual Space shall endeavour to ensure that any adaptation, translation, or reformatting does not materially alter the intended meaning or context of the original User Content.
If you choose to provide suggestions, ideas, feedback, proposals, or recommendations (“Feedback”) regarding the Platform to Visual Space, you hereby grant Visual Space an irrevocable, royalty-free, worldwide, perpetual licence to use, incorporate, modify, distribute, and exploit such Feedback in any manner without any obligation or compensation to you. You agree and acknowledge that any Feedback you submit shall not constitute confidential or proprietary information, and that Visual Space has no obligation to maintain the confidentiality of such Feedback.
This Acceptable-Use Policy sets forth the standards of conduct required of all users of the Platform. By accessing or using the Platform, you agree not to engage in, facilitate, or encourage any of the prohibited activities described herein. Visual Space reserves the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this Acceptable-Use Policy.
You may not use the Platform to engage in, promote, or facilitate any activity that violates applicable local, national, or international laws or regulations. This includes, but is not limited to, illegal transactions, fraud, drug-related activities, child exploitation, human trafficking, terrorism, or any criminal conduct.
You may not publish or transmit content or communications that promote hatred, incite violence, intimidate, threaten, bully, or harass any individual or group based on their race, ethnicity, nationality, religion, gender, gender identity, sexual orientation, disability, age, or any other protected characteristic.
Posting, sharing, or disseminating sexually explicit, pornographic, obscene, or suggestive content is strictly prohibited. Any content intended to solicit, exploit, or endanger minors is expressly forbidden and will result in immediate account termination and reporting to the relevant authorities.
You may not attempt to access, compromise, disrupt, exploit, or otherwise interfere with the Platform, other user accounts, or third-party systems through hacking, distributing malware, phishing attacks, ransomware, spyware, piracy, or any other malicious or deceptive techniques.
You are prohibited from intentionally spreading misleading or false information, impersonating other users or entities, or otherwise engaging in coordinated inauthentic activity aimed at deceiving, misleading, manipulating, or undermining the integrity of the Platform, its users, or the public at large.
The publication of unsolicited promotional messages, repetitive posts, excessive or manipulative linking, automated bots, engagement farming, or any other spam-related practices designed to artificially inflate engagement metrics or redirect traffic to external platforms is strictly forbidden. Moderate self-promotion is permitted only if it directly supports genuine collaboration and community interaction.
You must not post, share, or distribute any content that infringes the intellectual property rights, trademarks, copyrights, patents, trade secrets, or proprietary rights of others. Plagiarism, unauthorised reproduction, or misrepresentation of authorship is strictly prohibited.
You may not exploit the Platform commercially without explicit authorisation from Visual Space. Additionally, data scraping, harvesting personal data from other users, or any unauthorised collection, use, or distribution of content or user information obtained through the Platform is strictly prohibited.
You must not engage in or attempt any form of reverse engineering, decompiling, disassembly, penetration testing, vulnerability assessment, or other unauthorised activities intended to compromise or undermine the security or integrity of the Platform or its systems. Authorised security researchers must obtain prior written approval from Visual Space.
Visual Space is intended for meaningful, constructive, and collaborative interactions. The Platform expressly prohibits publishing or promoting content that is trivial, of low quality, intentionally distracting, or similar, and does not contribute positively to the community, collaboration, or knowledge sharing. Visual Space reserves the right to remove such content at its sole discretion.
All content, materials, trademarks, logos, designs, software, and intellectual property displayed on, provided through, or otherwise associated with Visual Space are the sole and exclusive property of Visual Space, its licensors, or respective rights holders, and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws.
You agree that you will not, directly or indirectly, copy, reproduce, download, distribute, modify, display, publish, transmit, reverse engineer, or create derivative works from any Visual Space’ Intellectual Property without our express prior written consent. You acknowledge that any unauthorized use or infringement of Visual Space’ Intellectual Property Rights may cause irreparable harm and that Visual Space will be entitled to seek all legal remedies available under applicable law, to prevent or restrain such unauthorized use or infringement.
Nothing in these Terms of Service grants you any license or right, whether explicitly, implicitly, or otherwise, to use any Visual Space’ Intellectual Property Rights except as expressly authorized herein. All rights not expressly granted to you under these Terms of Service are reserved by Visual Space.
In addition to the prohibitions set forth above, the following practices are expressly prohibited on the Platform:
Violation of this Acceptable-Use Policy may result, at Visual Space’s sole discretion, in the removal of content, temporary suspension, or permanent termination of your account, and potential reporting to applicable law enforcement authorities.
Before creating a space on Visual Space Platform, you have to select a licence, like open-source licenses (e.g., MIT License, Apache 2.0 License, GNU GPL) or others available on the Platform.
Visual Space aims to provide a safe, respectful, and collaborative environment for all users. Moderation is primarily conducted by community administrators and moderators, with moderation by the Platform occurring only secondarily or as a supplementary measure. Users who believe certain content or behavior violates applicable laws or these Terms should first report the issue using the report function available on the Platform, directing the report to community administrators or moderators. If the issue persists or if there is inadequate response, users may report directly to Visual Space by emailing us at [email protected], clearly explaining why they consider the reported content should be removed or restricted.
Upon receiving a report via the Platform or email, community moderators and administrators will review the issue and, if necessary, take appropriate action, which may include content removal, content restriction, user warnings, temporary suspensions, or other measures. Visual Space may intervene and assist with moderation only in exceptional circumstances, as a secondary measure.
Neither Visual Space nor community moderators or administrators can be held liable for the absence of responses, delayed actions, or perceived inadequate moderation. All moderation decisions remain final and at the discretion of moderators, administrators, and Visual Space.
Visual Space reserves the right to manage inactive Accounts and Spaces to maintain the quality and efficiency of the Platform. If you voluntarily request Account deactivation, your Account will enter a three-month grace period during which you may reactivate it. After this grace period, your Account, including associated personal data, may be permanently deleted, and the process will become irreversible.
Accounts that remain inactive (defined as no login or other activity) for a continuous period of two years will be subject to automatic deletion. In addition, Spaces that experience no activity or updates for a period exceeding one year may be considered dormant. Dormant Spaces may, at Visual Space’s discretion, be archived, restricted, or permanently deleted. Users who wish to reclaim dormant Spaces must contact Visual Space directly, providing sufficient proof of membership and justification for reassignment.
Users are responsible for regularly backing up any content or information they wish to retain. Visual Space assumes no responsibility or liability for any loss of data or information resulting from the deletion or reassignment of inactive Accounts or dormant Spaces.
Visual Space may use artificial intelligence (AI) and automated processing technologies to operate, enhance, moderate, and improve user experience on the Platform. You acknowledge and agree that Visual Space may analyse, summarise, categorise, or moderate User Content using automated systems and algorithms. Public content on the Platform may also be used for training AI models, conducting data analysis, or developing new features and improvements. Visual Space commits to not using private content for AI training purposes without explicit user consent.
Access to certain features or functionalities within the Platform may require a paid subscription, according to specific subscription plans and pricing options detailed on our pricing page. By subscribing, you agree to pay the applicable fees and charges as indicated at the time of subscription.
Payments are processed securely through third-party payment processors, such as Stripe and RevenueCat. You agree to provide accurate and up-to-date payment information, and you authorise Visual Space and its payment-processing partners to charge your chosen payment method for any applicable subscription fees.
Subscriptions will automatically renew at the end of each billing period unless explicitly cancelled prior to the renewal date. You can manage your subscription or cancel automatic renewal at any time through your account settings. Payments already processed are non-refundable, and Visual Space maintains a strict no-refund policy unless explicitly required by applicable law or as otherwise stated in these Terms.
Each subscription plan includes clearly defined storage quotas and limits regarding Spaces, Users, and other platform features. You acknowledge that exceeding your allocated storage quotas or other limits may require you to upgrade to a higher plan, incur additional charges, or restrict your ability to add new content.
Visual Space may offer trial periods, promotional offers, or a free tier with limited functionality. Trial subscriptions or promotions may automatically convert into paid subscriptions unless cancelled before the end of the trial or promotional period. Details regarding trial offers or the free tier will be explicitly communicated on the Platform.
Visual Space reserves the right, at its sole discretion, to modify subscription pricing, available features, storage quotas, and monetisation mechanics. Visual Space will notify users of any significant modifications in advance. Continued use of the Platform after the effective date of such changes constitutes your acceptance of the revised terms.
Visual Space respects intellectual-property rights and expects all users to do the same. If you believe your copyright-protected work has been infringed by content hosted or shared on the Platform, please notify Visual Space promptly. Your notification must include:
Visual Space reserves the right to promptly remove or disable access to any allegedly infringing content upon receipt of valid notification.
Visual Space maintains a strict repeat-infringer policy. Accounts associated with repeated or flagrant copyright infringement may be suspended or terminated permanently at Visual Space’s sole discretion.
Notifications of alleged infringement, counter-notices, or inquiries regarding this Intellectual-Property Policy should be directed to Visual Space via e-mail [email protected].
The Platform and all related services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Visual Space disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. Visual Space does not warrant that the Platform will be uninterrupted, error-free, secure, or free from harmful components, nor does it make any warranty regarding the accuracy, completeness, or reliability of any content available through the Platform.
You acknowledge that access to the Platform may be suspended, limited, or terminated from time to time due to maintenance, upgrades, system failures, force-majeure events, or factors beyond Visual Space’s reasonable control. Visual Space bears no liability for any interruption, delay, or inability to access the Platform, nor for any loss, corruption, or unauthorised disclosure of data. You are solely responsible for maintaining appropriate backups of your User Content and any data you deem important.
The Platform may contain links to, or integrate with, third-party websites, applications, or services that are not owned or controlled by Visual Space. Visual Space does not endorse or assume any responsibility for any third-party sites or services. Your interactions with any third-party site, application, or service are solely between you and the third party, and you access them at your own risk. Visual Space shall not be liable for any damage or loss arising from your use of, or reliance on, third-party content, products, or services.
All users must ensure compliance with applicable national, european and international laws, including but not limited to employment laws, intellectual property laws, data protection and privacy laws, tax regulations, anti-discrimination laws, and any other relevant regulations when creating or participating on Visual Space Platform. Users bear sole responsibility for the legality and appropriateness of their activities and interactions on the Platform.
Visual Space, its administrators, moderators, directors, officers, employees, affiliates, and licensors shall not bear any responsibility or liability for any legal violations, contractual disputes, or infringements arising from user-generated Projects or collaborations. Users acknowledge and accept that their participation in Projects, collaborations, and other Platform activities is conducted at their own risk, and Visual Space does not guarantee, oversee, or assume responsibility for compliance with applicable laws and regulations, including but not limited to employment law, data protection and fiscal law.
To the maximum extent permitted by applicable law, Visual Space, its directors, officers, employees, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of, or inability to access or use, the Platform; (b) any conduct or content of any third party on the Platform; or (c) unauthorised access, use, or alteration of your transmissions or content. In no event shall the aggregate liability of Visual Space for all claims relating to the Platform exceed the greater of (i) the amounts you paid Visual Space, if any, in the twelve months preceding the claim or (ii) one hundred euros (EUR 100).
Under Article 9 of Government Emergency Ordinance No. 34/2014 on consumer rights (GEO 34/2014), Romanian consumers ordinarily benefit from a 14-day right of withdrawal for distance contracts. That right does not apply to your subscription or to any other purchase made through the Platform for the following statutory reasons:
By completing a purchase or activating a subscription you (i) expressly request immediate access to the digital services and content supplied by Visual Space APP SRL, and (ii) acknowledge that once performance has begun you irrevocably waive the statutory 14-day right of withdrawal provided for consumers under GEO 34/2014.
If any provision of this Agreement is held invalid, illegal, or unenforceable by a court of competent jurisdiction, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired in any way, and the Agreement shall continue in full force and effect.
These Terms, their interpretation, and any dispute arising out of or in connection with them or with your use of the Platform are governed exclusively by the substantive laws of Romania, without reference to any rules on conflicts of laws.
You and Visual Space APP SRL agree that any dispute, controversy, or claim arising under, out of, or relating to these Terms or the use of the Platform shall be submitted to the exclusive jurisdiction of the competent Romanian courts seated in Bucharest, Sector 6.
You may terminate these Terms at any time by deleting your Account through the designated settings page. Termination is effective immediately upon completion of the account-deletion process. Upon termination, you must cease all use of the Platform, and any fees already paid remain non-refundable.
Visual Space APP SRL may suspend or terminate your Account, access to any Space, or these Terms in whole or in part:
Termination does not retroactively affect licences already granted under these Terms. Private content associated solely with a terminated Account will be scheduled for deletion in accordance with our data-retention policy. Public posts and contributions made before termination may remain visible on the Platform; however, the author attribution will be replaced with the label “Deactivated Account.”
Any provisions of these Terms that by their nature should survive termination, including, without limitation, clauses on intellectual-property licences, disclaimers, limitations of liability, indemnities, and governing law, shall continue in full force and effect.
